We advise founders and private equity firms on buying and selling healthcare businesses. Healthcare is the only industry we cover. The work draws on Marc's 36 years advising on healthcare deals and 17 years investing in them as a principal.
Decades in healthcare mean we've built relationships with the founders, advisors, and intermediaries who think of us early—often before a process starts. That access isn't accidental. It comes from a track record of closing what we say we'll close, structuring deals fairly, and never wasting an operator's time on a process that goes nowhere.
Our point of view comes from pattern recognition built over more than 150 healthcare transactions—watching business models emerge, scale, get reimbursed, get squeezed, and adapt. We know which segments of behavioral health have durable economics, which provider models survive payor consolidation, and where post-acute care is heading as Medicare Advantage reshapes incentives.
Selling or buying a business is among the most consequential decisions a founder makes. We advise on sales to strategic buyers, private equity recapitalizations, and acquisitions.
We advise on price and deal terms, structure, earnouts, rollover, and management incentives. We also negotiate the details that shape the final outcome: representations and warranties, working capital adjustments, and transition services agreements.
We work with private equity firms in two ways. As an independent sponsor, we bring proprietary healthcare deals, lead them, and invest alongside the fund as a principal. As an advisor, we work across the investment lifecycle: developing a healthcare investment thesis, assessing practice economics, payor relationships, and coding and compliance, and C-suite recruitment and advisory.
